The position As an Associate General Counsel, your main responsibilities will focus on drafting, negotiating and related legal counselling for complex global M&A agreements and other strategic transactions and integrations across all [xxxxx] areas and geographies, including Research & Development, Commercial and Global Product Supply organisations. You will be expected to develop solutions to new and challenging issues in a changing environment; and contribute to the ongoing development of the legal team and cultivate a highly collaborative culture. Your collaboration will be with a diverse range of stakeholders within the business and across Global Legal, including working closely with Research & Development, Global Product Supply organisation, the global Business Development teams, headquarters staff, as well as other global legal colleagues on various strategic projects. The key responsibilities of this role will be to:
  • Lead drafting, negotiating, structuring and advising on M&A and other complex life science transactions, strategic collaborations and acquisitions
  • Be a key business partner with Business Development and line of business for such transactions
  • Advise [xxxxx] leaders on critical legal issues and work closely with other [xxxxx] functions such as Global Product Supply, R&D units, strategic finance, and tax
  • Manage risk and help ensure [xxxxx] obtains the benefit of the transactions
  • Supervise and direct outside counsel for transactions
  • Contribute to Global Legal & Patents initiatives
  • You will be reporting to the Head of Legal M&A and Integration– part of the Legal Business Development, Digital Health & Trademarks Team. Qualifications To succeed in this role, you hold a law degree from a recognized university and are authorised to practice law, and you have minimum 7 years of experience from a major law firm or relevant in-house legal department, with proven track record of drafting and negotiating M&A and general corporate law matters. Furthermore, as an ideal candidate, we expect you to have following qualifications:

  • Well-developed business partnering skills, including a proactive approach to understanding our customers’ needs and enabling business results through best-in-class legal advice

  • Excellent communication skills in English
  • Strong stakeholder management skills that enable you to collaborate with peers and convey complex issues and navigate among stakeholders from different business functions
  • We expect you to have excellent interpersonal skills and solid attention to details, with creative and practical problem-solving approach. About the department You will be a key member of the highly collaborative and high-performing Legal Business Development team, providing legal support to global Business Development activities such as M&A transactions and integration, and other global strategic collaborations.
